Terms of Service

The agreement between you and CLU. Last updated: October 3, 2026.

CLU is a product of OLDB LIMITED (company number 16258218). CLU is currently offered in the United States.

Welcome to CLU. These Terms of Service (the “Terms”) are a legal agreement between you and OLDB LIMITED (“CLU,” “we,” “us,” or “our”) and govern your access to and use of the CLU mobile application and all related features and services (together, the “Services”). By downloading, accessing, or using CLU, you agree to these Terms and acknowledge our Privacy Policy, which explains how we handle your information. Please read them carefully. If you do not agree, please do not use CLU.

Important — please read Section 17. These Terms include a binding individual arbitration agreement and a class-action and jury-trial waiver that affect how disputes between you and us are resolved. You may opt out of arbitration within 30 days of first accepting these Terms, as explained in Section 17.

A few key things to know

  • CLU is a wellness tool, not a doctor. It does not provide medical advice and is never a substitute for a qualified healthcare professional.
  • You own what you share. Your inputs and the AI’s responses are yours; we do not train AI on them and we do not sell your data.
  • Paid plans are optional. CLU may offer a paid subscription (with a monthly token allowance) and one-time token top-ups; prices are always shown before you buy, and billing is handled by the App Store.
  • You must be 18 or older to use CLU.
  • AI can be wrong. Always double-check anything important, and do not rely on CLU as your sole basis for medical decisions.
  • You are in control. You can stop using CLU anytime and delete your chats, data, or whole account from within the app; we then erase your data as described in our Privacy Policy.
  • Disputes are resolved by arbitration. These Terms include a binding individual arbitration agreement and a class-action waiver (Section 17); you can opt out within 30 days.
01

About these Terms and who we are

CLU is provided by OLDB LIMITED, a company registered in England and Wales under company number 16258218, with its registered office at C/O Eaccounts, Ground Floor, Cardigan House, Enterprise Park, Swansea, Wales, SA7 9LA, United Kingdom. CLU is currently offered to users in the United States.

These Terms are the entire agreement between you and us regarding your use of the Services. Our Privacy Policy, which we encourage you to read, explains how we handle your information. If a feature-specific policy conflicts with these Terms, the feature-specific policy controls for that feature.

02

Eligibility and your account

Age. You must be at least 18 years old to use CLU. By using CLU, you represent that you are 18 or older and able to enter into a binding contract.

Your account. You can start using CLU with an anonymous account. If you create or sign in to an account (for example with Sign in with Apple, Sign in with Google, or an email address), you agree to provide accurate information and to keep your login credentials secure. You are responsible for all activity under your account, and you should not share it or let anyone else use it. Please tell us at hello@withclu.com if you suspect any unauthorized use.

03

Important: CLU is not medical advice

CLU is a consumer health and wellness service intended to help you understand, organize, and communicate your health information. It is not intended to diagnose, treat, cure, or prevent any disease, does not provide medical advice, diagnosis, or treatment, and is not a substitute for a qualified healthcare professional. CLU’s content and any AI-generated insights are for general informational and educational purposes only, and using CLU does not create a doctor–patient or other professional relationship.

  • Always consult a qualified healthcare professional about any question regarding a medical condition, symptom, medication, or treatment.
  • Never disregard or delay seeking professional medical advice because of something CLU told you.
  • Do not use CLU for emergencies. If you think you may have a medical emergency, call 911 (or your local emergency number) immediately.
  • Do not rely on CLU’s Output as the sole basis for any health decision. You are responsible for the decisions you make about your health.

Assumption of risk. You acknowledge these limitations and agree that you use CLU, and rely on any Output, at your own risk.

04

What CLU does

CLU helps you understand and organize your health information. Depending on the features you choose, CLU can chat with you about your health, generate personalized insights and daily notifications, read health and fitness data you connect from Apple Health, read and summarize documents you upload, transcribe your voice, and create summaries to help you prepare for appointments.

We are always improving CLU, so features may change, be added, or be removed over time, and we may set reasonable limits on use of the Services, including a monthly usage allowance for AI features (see Section 9).

05

Your content

Your content. You may provide information to CLU, such as messages, health details, and documents (“Input”), and receive responses generated by the Services (“Output”). Input and Output together are your “Content.”

Ownership. As between you and us, you keep all ownership rights you have in your Input, and you own the Output CLU generates for you, to the extent permitted by law.

License to run the Service. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your Content solely to operate, provide, secure, and improve the Services for you — including sending the information a feature needs to our service providers (such as OpenAI) as described in our Privacy Policy. We do not sell your Content. We do not use your Content to train AI models, and we do not permit our AI providers to use your Content to train or improve their models.

Your responsibility. You are responsible for your Content and confirm that you have the rights needed to provide it and that doing so does not break the law or these Terms. Please do not upload other people’s personal or health information unless you have their permission.

Similarity of Output. Because of how AI works, other users may receive Output similar to yours. Your ownership of Output does not extend to other users’ output or to any third-party content.

06

AI output, accuracy, and your responsibility

CLU’s features are powered by artificial intelligence, which is probabilistic by nature. This means Output can sometimes be inaccurate, incomplete, or out of date, even when it sounds confident. When you use CLU, you understand and agree that:

  • Output may not always be accurate, and you should not rely on it as a sole source of truth or as a substitute for professional advice.
  • You should review Output for accuracy and suitability before relying on or acting on it.
  • You must not use Output to make decisions about other people that could have a legal or significant effect on them — for example decisions about another person’s employment, credit, insurance, housing, or eligibility for benefits.
  • Output does not represent our views and may reference third parties without their endorsement or affiliation.
07

Acceptable use

You agree to use CLU lawfully and responsibly. You may not:

  • use CLU for any unlawful, harmful, deceptive, or abusive purpose, or in a way that infringes or violates anyone’s rights;
  • upload another person’s personal or health information without their permission;
  • copy, modify, rent, lease, sell, sublicense, or distribute any part of the Services;
  • reverse engineer, decompile, or attempt to discover the source code, models, or underlying components of the Services, except where the law permits;
  • scrape or automatically or programmatically extract data or Output from the Services;
  • use Output to develop products or models that compete with CLU or its providers;
  • interfere with or disrupt the Services, or bypass any rate limits, security, or safety measures;
  • misrepresent AI-generated Output as human-generated where that would be deceptive; or
  • use CLU to provide medical advice to others or in any clinical or diagnostic setting.

We may investigate suspected violations and take appropriate action, including suspending or terminating your access.

08

Third-party services

CLU relies on trusted third-party services to work, including OpenAI (which powers our AI features), Apple (the App Store, Sign in with Apple, and Apple Health), and Google (Firebase cloud services and Sign in with Google). Your use of these services may also be subject to their own terms and privacy policies. We are not responsible for third-party services or their content. How our providers handle your data is explained in our Privacy Policy.

09

Fees, subscriptions, and token top-ups

CLU offers some features for free and may offer paid features, including an auto-renewing subscription that includes a monthly allowance of AI usage (“tokens”) and one-time “top-up” purchases of additional tokens for when you reach your monthly limit. The current prices, what each plan or pack includes, and the billing period are always shown to you in the app before you buy. Buying anything is optional.

Billing through the Apple App Store

All purchases are made through the Apple App Store and billed to your Apple Account. Apple processes all payments; we never receive or store your payment-card details. You agree to provide Apple with a valid, current payment method, and you are responsible for any applicable taxes, which Apple may add at checkout. Prices are shown in your local currency and are set through the App Store.

Subscriptions and automatic renewal

A subscription is charged to your Apple Account when you confirm the purchase and renews automatically for the same period at the then-current price, unless you turn off auto-renew at least 24 hours before the end of the current period. You can view, manage, or cancel your subscription at any time in your Apple Account settings (Settings → your name → Subscriptions). Deleting the app does not cancel your subscription.

Monthly token allowance and top-ups

Each subscription includes a set amount of AI usage per billing period (“tokens”), shown in the app. If you use up your monthly allowance, you can keep going by buying one or more top-up token packs. Unless we state otherwise at the point of purchase, monthly subscription tokens apply only to that billing period and do not roll over, while top-up tokens remain available until you use them or your account is closed. Tokens have no cash value, are not transferable, and cannot be exchanged for money except where the law requires.

Free trials and introductory offers

If we offer a free trial or introductory price, its length and what happens when it ends are shown before you start. Unless stated otherwise, any unused portion of a free trial is forfeited when you buy a subscription, and if you do not cancel before the trial ends it may automatically convert to a paid subscription, as disclosed at sign-up.

Cancellation and refunds

You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where the law requires otherwise, payments and token purchases are non-refundable, and canceling does not entitle you to a refund for the current period or for unused tokens. Because Apple processes App Store purchases, refund requests are handled by Apple — you can request one at reportaproblem.apple.com. Nothing here limits any non-waivable refund or cancellation rights you have under applicable law.

Price and plan changes

We may change our prices and the contents of our subscriptions and token packs from time to time. For an auto-renewing subscription, if we raise the price, Apple will notify you and, where required, ask for your consent before the increase applies; otherwise the new price takes effect on your next renewal after notice, so you can cancel first if you do not agree. If a renewal payment cannot be completed, your access to paid features may be paused or downgraded until payment succeeds.

Discontinuing paid features

We may add, change, or discontinue paid features. If we permanently discontinue a paid feature you have prepaid for and cannot reasonably provide it, then, where a refund is required by applicable law or the App Store’s rules, we will work with Apple to provide or facilitate a refund for the unused, prepaid portion.

10

Apple App Store additional terms

Because CLU is distributed through the Apple App Store, the following additional terms apply, and you acknowledge and agree that:

  • These Terms are between you and OLDB LIMITED only, and not with Apple. Apple is not responsible for CLU or its content.
  • Apple has no obligation to provide any maintenance or support for CLU; we are solely responsible for support, which you can reach at hello@withclu.com or +36 30 649 8022.
  • Your license to use CLU is a limited, non-transferable license to use it on any Apple-branded device that you own or control, as permitted by the Usage Rules in the App Store Terms of Service, including by other members of your Family Sharing group where Family Sharing is enabled.
  • If CLU fails to conform to any applicable warranty, you may notify Apple, and Apple may refund any purchase price you paid for CLU; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to CLU, and any other claims are our responsibility.
  • We, not Apple, are responsible for addressing any claims relating to CLU, including product-liability claims, claims that CLU fails to meet a legal or regulatory requirement, and consumer-protection claims.
  • We, not Apple, are responsible for investigating, defending, settling, and discharging any third-party claim that CLU or your use of it infringes that party’s intellectual property rights.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist-supporting,” and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.
  • You must comply with any applicable third-party terms when using CLU (for example, your wireless data plan).
11

Our intellectual property

We and our licensors own all rights, title, and interest in the CLU app, including its software, design, text, graphics, and the “CLU” name and logo. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use CLU for your own personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved. You may not use our name, logo, or brand without our prior written permission.

12

Feedback

If you send us feedback, ideas, or suggestions, we are grateful — and you agree that we may use them without any restriction or obligation to you.

13

Termination and suspension

You can stop using CLU at any time, and you can delete your account and data from within the App.

We may suspend or terminate your access, or delete your account, if: (a) you breach these Terms; (b) we are required to by law; or (c) your use could create risk or harm to you, other users, us, or others. Where reasonable, we will give you notice.

If your account is terminated, your right to use the Services ends. Sections that by their nature should survive — such as content ownership, disclaimers, limitation of liability, indemnity, and dispute resolution — will continue to apply. Deletion of your data is handled as described in our Privacy Policy. If you believe your account was suspended or terminated by mistake, contact us at hello@withclu.com.

14

Disclaimer of warranties

CLU IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, AND DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE, OR THAT ANY CONTENT WILL NOT BE LOST OR ALTERED.

YOU ACCEPT THAT ANY USE OF OUTPUT IS AT YOUR OWN RISK, AND THAT CLU IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE (SEE SECTION 3).

Assumption of risk. Health and wellness decisions carry inherent risks. To the maximum extent permitted by law, you knowingly and voluntarily assume all risks arising from your use of CLU and from any reliance on Output, and you agree that we are not responsible for the decisions you make about your health.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you, and you may have additional rights under the law where you live.

15

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, GOODWILL, DATA, OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limitations are an essential basis of the agreement between you and us and apply even if a limited remedy is found to have failed its essential purpose.

Nothing in these Terms limits liability that cannot be limited by law — for example, liability for death or personal injury caused by negligence, for fraud, or for any other liability that applicable law does not allow to be excluded. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless OLDB LIMITED and its affiliates and personnel from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your Content, or your violation of these Terms or of any law or third-party right.

17

Dispute resolution, arbitration, and governing law

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND US TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT WITHIN 30 DAYS (SEE “YOUR 30-DAY RIGHT TO OPT OUT” BELOW).

Talk to us first (informal resolution)

Before starting a formal proceeding, you and we agree to try to resolve any dispute informally for at least 60 days. To begin, email us at hello@withclu.com with a short description of the dispute and your contact details; we will contact you using the account details or a reply address you provide. This step is required before either of us starts arbitration, and any filing deadlines (statutes of limitation) are paused while it is underway.

Agreement to arbitrate

If we cannot resolve the dispute within 60 days, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a “Dispute”) will be resolved by final and binding individual arbitration, rather than in court, except for the exceptions below. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this section, and the activities involved concern interstate commerce.

Arbitration rules and procedures

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms (the rules are available at adr.org), before a single neutral arbitrator who has exclusive authority to resolve the Dispute. The arbitration will be conducted by videoconference or document submission where possible; if an in-person hearing is needed, it will take place in the U.S. county where you live or another mutually agreed location. The arbitrator’s award is final and may be entered as a judgment in any court with jurisdiction.

Class-action and jury-trial waiver

YOU AND WE AGREE THAT DISPUTES MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY ON AN INDIVIDUAL BASIS. YOU AND WE KNOWINGLY AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY.

Exceptions

This section does not require informal resolution or arbitration of: (a) individual claims properly brought in a small-claims court; and (b) claims for injunctive or other equitable relief to stop unauthorized use or abuse of the Services or intellectual-property infringement. Either of us may bring such claims in court.

Your 30-day right to opt out

You can opt out of this arbitration agreement (including the class-action and jury-trial waiver) within 30 days of first accepting these Terms — or within 30 days after we post a material change to this Section 17 — by emailing hello@withclu.com with your name, the email or account identifier associated with your account (if you use an anonymous account, include the user ID shown in the app’s settings, or a reply email we can use to reach you), and a clear statement that you want to opt out of arbitration. Opting out will not affect any other part of these Terms.

Coordinated (mass) filings

If 25 or more similar arbitration demands are filed against us by or with the coordination of the same or coordinated counsel, you and we agree that the AAA’s Mass Arbitration Supplementary Rules (or any successor rules) — including the appointment of a process arbitrator and the AAA’s fee schedule for mass filings — will govern how those demands are administered. This process is designed to resolve large groups of similar claims fairly and efficiently.

Severability

If the class-action or representative-action waiver is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and heard in court while the rest of this section remains in effect. If any other part of this section is found unenforceable, the remainder will continue to apply.

Governing law and venue

These Terms and any Dispute are governed by the laws of the State of Delaware, U.S.A., together with applicable U.S. federal law, without regard to conflict-of-laws rules. For any matter that is not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in Delaware, except that we may seek injunctive relief in any court of competent jurisdiction.

Nothing in these Terms removes any mandatory consumer-protection rights under the law of the U.S. state where you live that cannot be waived by agreement.

18

Changes to these Terms and the Services

We may update these Terms from time to time — for example, to reflect changes in the law, new features, or security needs. If we make material changes that adversely affect you, we will give you at least 30 days’ notice by email or in-app notice before they take effect. Other changes take effect when posted, with an updated “Last updated” date. If you do not agree to a change, please stop using CLU; continuing to use CLU after changes take effect means you accept them.

We may also change, suspend, or discontinue any part of the Services. If we discontinue a paid feature you have prepaid for, then, where required by applicable law or the App Store’s rules, we will work with Apple to provide or facilitate a refund for the unused portion.

19

General terms

  • Assignment. You may not transfer your rights or obligations under these Terms. We may transfer ours to an affiliate or successor (for example, in a merger or sale), and will let you know if we do.
  • Severability. If any part of these Terms is found unenforceable, the rest will remain in effect.
  • No waiver. If we do not enforce a provision right away, we do not lose the right to do so later.
  • Entire agreement. These Terms are the entire agreement between you and us regarding your use of the Services. Our Privacy Policy, which we encourage you to read, explains how we handle your information.
  • Trade controls. You agree to comply with applicable export and sanctions laws and not to use CLU where prohibited by them.
  • Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control.
  • Notices. We will send notices to the email associated with your account or via the App; you can reach us at hello@withclu.com or +36 30 649 8022.
